Dissolve a Domestic entity or Withdraw a Foreign ​registration​​​

​​​​​​​​​​​​​​​​How do I dissolve a domestic business entity?

Dissolution of a business, nonstock corporation, limited liability company (LLC), limited partnership (LP), or a limited liability partnership (LLP) cannot be accomplished on the Annual Report filing. You must file Articles of Dissolution to legally dissolve the entity.

If the business, nonstock corporation, limited liability company (LLC), limited partnership (LP), or a limited liability partnership (LLP) is in delinquent status, you are required to pay any and all back fees due the department at the time of dissolution in addition to the filing fee for the Articles of Dissolution or Cancellation.

For a business corporation, you will need ​ Online​ Form 10

For a nonstock corporation, you will need Online Form 110

For an LLC, you will need  Online Form 510

For an LP, you will need Form 310​

For an LLP, you will need Form 610 or Form 611


How do I withdraw a foreign registration?


A foreign corporation, foreign nonstock, foreign limited liability company (LLC), foreign limited partnership (LP), or a foreign limited liability partnership (LLP) no longer conducting business in Wisconsin may file the Withdrawal and Final Report or Cancellation to legally withdraw or cancel in the State of Wisconsin.

For a foreign corporation, you will need Form 24​

For a foreign nonstock corporation, you will need Form 124

For a foreign LLC, you will need Online Form 524​

For a foreign LP, you will need Form 324​

​For a foreign LLP, you will need Form 624.
